Defined Terms. The terms “we,” “us,” and “our” refer to GUDYZ and its affiliates where the context applies. “You” refers to any person who accesses or uses the Site. Each of us is a “Party,” and collectively we are the “Parties.”

We may update the Site and these Terms at any time. Your continued access or use of the Site after publication of changes constitutes acceptance of those changes. Please review these Terms periodically. GUDYZ may suspend or terminate the Site, in whole or in part, with or without notice. You agree that you have no proprietary rights in the Site and that GUDYZ has no liability if your access is suspended or terminated.

2. GUDYZ Content

All content on the Site provided by GUDYZ or its licensors—including graphics, photographs, screenshots, text, digital downloads, trademarks, logos, product names, slogans, and compilations thereof (“GUDYZ Content”)—is owned by GUDYZ or its licensors and protected by intellectual property laws. No license or right to download or use GUDYZ Content is granted unless expressly stated.

You agree not to download, display, reproduce, distribute, or otherwise use any GUDYZ Content for any unauthorized commercial or non‑commercial purpose, or in any manner that could confuse consumers, disparage GUDYZ or its licensors, dilute trademark rights, or infringe intellectual property rights.

5. Promotions

Any contests, sweepstakes, or promotions (“Promotions”) on the Site are subject to separate official rules. In case of conflict, the official rules govern.

6. Accounts, Passwords, and Security

Certain Site features require an account. You must provide accurate, current information and keep it updated. You are responsible for maintaining password confidentiality and all activities under your account. Notify GUDYZ immediately of unauthorized use. GUDYZ is not responsible for losses from unauthorized account use.

7. Credit Card Use

To purchase products or services, you may provide credit card details. You represent that you have the legal right to use the card. By submitting payment information, you authorize GUDYZ or its processor (NUVEI) to facilitate the transaction. Verification may be required before completion.

8. Terms of Sale

GUDYZ ships only within Ecuador; international shipping is not available. See our Returns Policy on the Site for details. Custom products are non‑returnable but may be refunded or replaced under our policy. Orders in process cannot be modified. Sales tax is charged per the destination’s rate. Payments via NUVEI are subject to NUVEI’s terms.

Errors in pricing or product descriptions may occur. GUDYZ may correct errors and cancel orders for mistakes, even if confirmed. If charged, you will receive a credit; banking policies determine timing. GUDYZ may limit purchase quantities.

We strive to display product colors accurately but cannot guarantee color representation on your device.

Valid Visa, MasterCard, Discover, or American Express card is required. Shipping charges apply separately. Title and risk pass to you upon shipment. You must comply with all laws regarding purchased items.

GUDYZ AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM USE OR INABILITY TO USE THE SITE OR ANY PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR CERTAIN DAMAGES, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.

13. Governing Law and Jurisdiction

These Terms are governed by Ecuadorian law, without regard to conflict of law principles. Disputes not subject to arbitration will be resolved exclusively in Ecuadorian courts, and you consent to their jurisdiction.

14. Dispute Resolution and Arbitration

14.1 Definitions. A "Dispute" includes any claim related to the Site, these Terms, the Privacy Policy, or your relationship with GUDYZ, except bodily injury or death claims. Dispute is interpreted broadly.

14.2 Informal Resolution. Before arbitration, you and GUDYZ will attempt informal resolution for 60 days. Send a Notice to info@gudyz.com with your contact details, claim description, requested relief, and signature. Discussions may include phone or video calls.

14.3 Arbitration. Unresolved Disputes will be submitted to binding individual arbitration under the rules of the Guayaquil Chamber of Commerce Arbitration Center (CAC‑CCG). GUDYZ will cover fees necessary to avoid prohibitive costs unless your claim is frivolous.

14.4 Opt‑out. You may opt out of arbitration by sending a signed written notice to info@gudyz.com within 30 days of these Terms’ effective date.

14.5 Severability. If any arbitration provision is invalid, it will be replaced with a valid provision closest to the original intent, and remaining provisions will remain in force.

15. Miscellaneous

No agency, partnership, or joint venture is created. GUDYZ may delay enforcement for force majeure events without waiving rights. Invalid provisions are severable. These Terms constitute the entire agreement. Continued violation may lead to termination of your access. Surviving provisions include intellectual property, indemnification, disclaimers, limitations of liability, jurisdiction, and miscellaneous sections.
